Call Off Agreement: What It Is, How It Works, Examples

TL;DR: A call off agreement fixes prices, specifications and terms with a supplier up front, then lets you order ("call off") quantities when you actually need them. It trades a firm volume commitment for speed and price certainty. Get the minimums, price review and exit terms right, or it turns into an expensive promise.

A call off agreement (also called a call off contract) is an arrangement in which a buyer and supplier agree the price, product specification, delivery terms and an expected volume for a set period, and the buyer then places individual call-off orders against it as demand appears. Each call-off order is a short instruction (item, quantity, date, delivery point) that inherits every other term from the agreement. Public bodies use the same idea under framework agreements; private companies use it for packaging, raw materials, MRO parts and services they buy repeatedly.

What is a call off contract and a call off order?

A call off contract is a standing agreement that removes the need to negotiate every purchase. Instead of running a new quote for each order, you negotiate once and then release quantities over the term.

A call off order is the individual purchase placed under the agreement. It names the item, quantity, delivery date and location, and references the agreement number. Because price and terms are already agreed, a call-off order is usually approved faster than a standalone purchase order. In most companies it is issued as a purchase order or a release against a blanket purchase order.

How does a call off agreement work? A worked example

Take a small manufacturer that uses corrugated boxes. It expects about 60,000 boxes a year but cannot predict monthly demand.

  • Agreement term: 12 months.
  • Agreed price: $0.80 per box up to 50,000; $0.74 per box above 50,000.
  • Committed minimum: 40,000 boxes. Maximum the supplier must supply: 75,000.
  • Minimum call-off: 5,000 boxes, 10 working days lead time.

Over the year it places five call-offs: 15,000 boxes in January, 20,000 in March, 10,000 in June, 10,000 in September and 5,000 in November. The September order crosses the 50,000 price break.

Cost: 50,000 x $0.80 = $40,000, plus 10,000 x $0.74 = $7,400. Total $47,400 for 60,000 boxes, an average of $0.79 a box.

Now the downside. If demand collapses and the buyer only calls off 30,000 boxes, it still owes the shortfall against the 40,000 minimum. If the agreement says unordered minimum volume is payable, that is 10,000 x $0.80 = $8,000 for boxes it never received. That clause is where most of the risk sits.

How is a call off different from a framework agreement?

A framework agreement sets the rules for future contracts; a call off contract is the actual contract made under it. In UK public procurement, contracts awarded under a framework are called call-off contracts (Welsh Government guidance on frameworks).

Call-off arrangements in US federal buying follow the same logic. Under FAR 16.504, an indefinite-quantity contract requires the government to order at least a stated minimum and the contractor to supply any additional quantities up to a stated maximum, and the minimum "must be more than a nominal quantity" (FAR 16.504).

The US equivalent of a framework without commitment is the basic ordering agreement. FAR 16.703 says plainly that "a basic ordering agreement is not a contract"; each order becomes binding at the point the agreement specifies, and the agreement itself is reviewed annually (FAR 16.703).

What are the rules for call-offs in UK public procurement?

Two regimes apply, depending on when the procurement started:

  • Procurement Act 2023 for procurements started from 24 February 2025. Frameworks run for up to 4 years, or 8 years for defence, security and utilities frameworks; open frameworks can run to 8 years. No tender notice is published for a call-off, but a contract award notice is required (legislation.gov.uk, Part 3 Chapter 4).
  • Public Contracts Regulations 2015, regulation 33 for procurements started earlier. Frameworks are limited to 4 years except in exceptional cases, but call-off contracts can run longer and beyond the framework's end. Multi-supplier frameworks allow direct award, mini-competition or a mix, and a mini-competition must go to the best tender on the stated award criteria (Procurement Portal on PCR 2015 frameworks).

Private companies are not bound by either, but the mechanics (direct award vs mini-competition) are worth copying.

When should a business use a call off agreement?

Use a call off agreement when:

  • You buy the same item repeatedly and spend on it is meaningful.
  • Demand is predictable in total but not by month.
  • The supplier needs volume visibility to hold capacity or stock.
  • Re-quoting every order costs more time than it saves.

Avoid it when demand is genuinely uncertain, the product is changing, or prices are falling fast and a fixed price would trap you. For one-off or volatile purchases, a fresh request for quotation each time is still better. The cost vs quality decision framework helps decide which suppliers deserve a standing agreement.

What are the risks, and how do you limit them?

The main risks of call off contracts are volume, price and lock-in.

  • Minimum volume liability. As in the example, a committed minimum is payable even if you never order it. Set it below the volume you are fairly certain to buy.
  • Price drift. A fixed price looks good until the market drops. Add an index clause or review dates.
  • Supplier capacity. A maximum is meaningless if the supplier cannot ship it. Agree lead times and what happens on a missed call-off.
  • Lock-in and complacency. A single long agreement removes competitive pressure. Re-quote at renewal.
  • Order sprawl. Call-offs placed by many people bypass budgets. Keep an approval workflow with thresholds.

The hard part of a call off agreement is the negotiation at the start: getting comparable quotes from several suppliers on the same specification and tiers. AuraVMS is RFQ software for small and medium businesses that sends one RFQ to several suppliers, lets them reply without creating an account, and ranks quotes side by side (L1, L2, L3) so you pick the supplier for the agreement on evidence. AuraVMS starts at $4.99/month, billed annually.

FAQ

What is the difference between a call off and a purchase order?

A purchase order is a single commitment to buy. A call off order is a purchase order placed under an existing agreement, so it inherits the agreed price and terms rather than setting new ones.

Is a call off agreement legally binding?

The agreement binds both parties to its terms, and any committed minimum. A framework or basic ordering agreement without commitment may not be a contract at all; each call-off order becomes binding when issued or accepted, as FAR 16.703 describes.

How long does a call off contract last?

Private agreements usually run 12 to 36 months. UK public frameworks run up to 4 years (8 for defence and utilities), and call-off contracts can extend beyond the framework's end.

What is a call off stock agreement?

Call-off stock is inventory a supplier holds at or near the buyer's site, which the buyer takes and pays for only when used. It is a call off arrangement combined with consignment-style storage.

Is a blanket purchase order the same as a call off agreement?

They are close. A blanket purchase order vs a standard purchase order usually caps value or quantity without a minimum, while a call off agreement often commits a minimum volume.
